Terms of Service
Updated October 26, 2026
These Terms of Service ("Terms") govern your access to and use of FrontDesk Global’s software-as-a-service products (ReplaceReceptionist, PreventNoShows, TheAutoReply, TestimonialCollect, CustomerRetentionAI and FreshLocalSEO; each a “Product”), offered by X3 E-Commerce LLC, a Michigan limited liability company doing business as FrontDesk Global ("FrontDesk Global," "we," "us," or "our"). By creating an account, accessing, or using any Product (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and account
1.1. You must be at least 18 years old and authorized to bind the business you represent. 1.2. You must provide accurate, current, and complete information when creating your account and keep it updated. 1.3. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. 1.4. We may suspend or terminate accounts that violate these Terms, applicable law, or the policies of integrated third-party platforms (including Google).
2. The Service
2.1. What the Service does. The Service is a set of software products that use artificial intelligence to help run a local business’s front desk: texting back missed calls, sending appointment reminders, drafting replies to reviews, collecting testimonials, drafting Google Business Profile posts and drafting win-back texts. Each Product’s website describes what it does. If you use TheAutoReply, you authorize us to read your reviews and post replies on your behalf in accordance with the configuration you choose.
2.2. AI-generated content. Review replies generated by TheAutoReply are drafted by AI and posted under your business identity on Google. You are the publisher of those replies and are responsible for their content, the same as if you had typed them yourself. Approve-mode (you review every reply before it posts) is the default. You may switch on auto-post for 4–5★ reviews only; 1–3★ replies always wait for your approval.
2.3. Service modifications. We may add, remove, or modify features at any time. We will give reasonable advance notice of material reductions in functionality.
2.4. Beta features. Features marked "beta," "preview," or similar are provided as-is, may change, and may be removed without notice.
3. Subscription, fees, and trial
3.1. Pricing. The Service is offered as a recurring monthly or annual subscription at the rate displayed on our pricing page at the time of purchase (see frontdeskglobal.com/#pricing and Section 3A).
3.2. Free trial. New subscriptions start with a 14-day free trial. A payment card is required to start; you are not charged until day 15, and your subscription converts to paid unless you cancel before then.
3.3. Billing. You authorize us, through our payment processor (Stripe), to charge your designated payment method on the day of conversion and on the same day each subsequent month (or year, on annual billing).
3.4. Taxes. Prices are exclusive of applicable taxes. We collect and remit sales/use tax where required.
3.5. Refunds. Except for the 30-day money-back guarantee in Section 3A, fees are non-refundable except as required by law. If you cancel, you retain access through the end of the current billing period.
3.6. Price changes. We may change subscription prices with at least 30 days' written notice. Existing customers' rates are protected for the duration of any price-lock commitment we make at sign-up.
3A. Pricing, Trials, Founding Members, and Refunds
Prices are per location, in US dollars, and exclude applicable taxes. Current prices are listed at frontdeskglobal.com/#pricing and on each product’s website.
- Free trial. Every plan starts with a 14-day free trial. A payment card is required to start. You are not charged if you cancel before the trial ends; otherwise the subscription converts to paid on day 15.
- No contract; cancel anytime. Plans are month to month, or year to year if you choose annual billing. You can cancel anytime from your dashboard or by e-mailing hello@frontdeskglobal.com. Cancellation takes effect at the end of the current billing period.
- 30-day money-back guarantee. The guarantee covers your first paid month: if you ask us within 30 days of your first paid charge, we will refund that charge. Other charges are refundable only as required by applicable law.
- No setup fees. We do not charge setup or onboarding fees.
- Annual billing. You may choose to pay yearly. An annual plan costs 10 times the monthly list price (two months free), is billed in advance, and renews each year unless you cancel before the renewal date.
- Founding 50. The Founding 50 offer is limited to 50 founding seats and ends on December 31, 2026 or when the seats run out, whichever comes first. Founding members get a setup call with our founder. Your founding price stays the same while your subscription stays active on the same or a higher plan. It covers the plan as it is today, including its texts. Canceling, or a lapse of more than 30 days, ends it. Not combined with annual billing.
- Multi-location. Each location is billed separately. Businesses with more than one location get 20% off locations 2 through 5 and 30% off location 6 and up. Contact us at hello@frontdeskglobal.com to set it up.
- ReplaceReceptionist texts. The ReplaceReceptionist plan includes up to 1,000 text messages per location per month. If you go over, we will contact you about a larger plan.
4. Your responsibilities
4.1. Compliance. You must comply with all applicable laws and the terms of any third-party platforms you connect to the Service, including Google's Business Profile terms.
4.2. Authority over connected accounts. If you connect a Google Business Profile or another account, you represent that you are the owner of, or are authorized to manage, the Google Business Profile(s) you connect to the Service.
4.3. Content review. You are responsible for reviewing AI-drafted content that waits for your approval (such as review replies, posts and texts) and editing or rejecting anything that is inaccurate, inappropriate, or that you do not wish to publish under your business identity.
4.4. Prohibited conduct. You will not (a) reverse-engineer or attempt to derive source code from the Service; (b) use the Service to harass, defame, or disclose private information; (c) post replies that violate Google's policies; (d) attempt to remove or manipulate genuine negative reviews; (e) use the Service for any unlawful purpose; or (f) use the Service to compete with us.
5. Our responsibilities and limitations
5.1. AI guardrails. The Service is configured to refuse to draft replies that argue with reviewers, reveal private information, threaten legal action, or use language flagged as toxic, harassing, or discriminatory. Edge cases are flagged for human review and not auto-posted.
5.2. No warranty of perfect output. Despite our guardrails, AI-generated content can contain errors. The Service is provided "as is" without warranty of accuracy, completeness, or fitness for a particular purpose.
5.3. Service availability. We aim for high uptime but do not guarantee uninterrupted service. We are not liable for downtime caused by third-party platforms (Google, Stripe, etc.) or force majeure.
5.4. Third-party platforms. Our ability to deliver the Service depends on Google's Business Profile API and other third-party services. We are not responsible for changes those platforms make.
6. Data and privacy
6.1. Our collection, use, and protection of personal data is described in our Privacy Policy, which is incorporated by reference into these Terms.
6.2. You retain ownership of your business data, including reviews, replies, brand voice configuration, and customer information.
6.3. We will not sell your data, train our models on your private content, or share your customer data with third parties except as required to operate the Service or comply with law.
6.4. Data export. You may export your data (such as reply history, customers and messages) at any time from the dashboard.
6.5. Data deletion. After your account ends, we keep your data at least 30 days so you can export it, then delete it within 90 days, as described in our Privacy Policy. You can ask for earlier deletion at any time.
6A. SMS and text messaging terms
If you use any FrontDesk Global product that sends SMS/MMS messages — including ReplaceReceptionist, TestimonialCollect, PreventNoShows, and CustomerRetentionAI — the following terms also apply.
- Your customer's consent is required. You may only send SMS through the Service to recipients who have given prior express written consent to receive text messages from your business. Acceptable consent capture mechanisms are described in our Privacy Policy and at /sms-consent. You are responsible for ensuring consent was obtained before adding any recipient to a campaign.
- STOP / HELP keywords are non-negotiable. The Service automatically processes STOP (also STOPALL, UNSUBSCRIBE, END, QUIT, CANCEL, REVOKE, OPT OUT) and HELP (also INFO) replies from any recipient. You may not disable, work around, or override these mechanisms. A STOP reply applies to your business across all of your FrontDesk Global products; it does not opt the number out of other, unrelated businesses’ messages. You may not re-add or re-message an opted-out number unless the person opts back in (for example, by replying START).
- Required disclosure language. Every campaign message you create through the Service must include (or our system will automatically append) the phrase "Reply STOP to opt out." Marketing or recurring messages must also disclose message frequency and that "Msg & data rates may apply."
- Consent types and quiet hours. You must record which kind of consent each recipient gave: informational texts (such as reminders and feedback requests) or marketing texts (such as offers). Marketing texts may go only to recipients with marketing consent. Automated texts are sent only between 8:00 a.m. and 9:00 p.m. in your business’s local time.
- Prohibited content (carrier rules). You will not use the Service to send SMS in any of the categories prohibited by our carrier partner (Telnyx) and the CTIA Short Code Monitoring Handbook, including but not limited to: messages related to firearms, cannabis or controlled substances, gambling, payday or short-term lending, cryptocurrency promotion, debt collection without explicit license, sexually explicit content, hate speech, harassment, fraud, phishing, deceptive marketing, or political fundraising and campaigning. Violations will result in immediate account suspension and may result in carrier-imposed fines passed through to your account.
- 10DLC compliance. Messages are sent through A2P 10DLC infrastructure managed by X3 E-Commerce LLC, or from a number registered for your business where one is set up. You authorize FrontDesk Global to send SMS on your business's behalf and to register your business with carriers where required. You agree to honor the campaign use-case scope (operational and transactional messages to existing customers, customer-care replies to people who called or texted the business, and marketing messages only to recipients with marketing consent; no unsolicited promotional outreach).
- Daily caps. SMS volume is subject to per-day caps per product as published on the Service pricing pages. You may exceed your cap by purchasing add-on packs or enabling per-message overage; both are billed in addition to your base subscription.
- Message and data rates. Carrier message and data rates may apply to recipients. FrontDesk Global does not charge recipients; recipients are billed by their own mobile carrier per their phone plan.
- Indemnity. You will indemnify FrontDesk Global and X3 E-Commerce LLC against any claim, fine, or carrier penalty resulting from your sending SMS through the Service without proper consent, in violation of the prohibited-content list above, or in violation of applicable law including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
7. Intellectual property
7.1. We own all intellectual property in the Service, including the software, AI prompts, brand voice templates, and documentation.
7.2. You retain ownership of (a) your business data, (b) the replies posted under your business name (which become part of the public record on Google), and (c) any custom brand voice configuration you create.
7.3. License to us. You grant us a limited, non-exclusive license to access the accounts you connect (such as your Google Business Profile, calendar or payment records), read the data needed to run the Products you use, and draft and send or post content on your behalf in accordance with your configuration. This license terminates when you terminate your account.
7.4. Feedback. Suggestions or feedback you provide may be used by us without restriction or compensation.
8. Termination
8.1. By you. You may cancel your subscription at any time through the dashboard. Cancellation takes effect at the end of the current billing period.
8.2. By us. We may terminate or suspend your account, with or without notice, for material breach of these Terms, unlawful use of the Service, or risk to our infrastructure or other customers.
8.3. Effect of termination. Upon termination: (a) your access to the Service ends; (b) replies previously posted to Google remain on Google (we do not control them post-publication); (c) your data is deleted on the schedule in Section 6.5; (d) any unpaid fees become immediately due.
8.4. Survival. Sections 5 (limitations), 6 (data), 7 (IP), 9 (disclaimers), 10 (indemnification), 11 (limitation of liability), 12 (dispute resolution), and 14 (general) survive termination.
9. Disclaimers
9.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
9.2. WE DO NOT WARRANT THAT (A) AI-GENERATED REPLIES WILL BE ERROR-FREE, (B) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, OR (C) THE SERVICE WILL OPERATE WITHOUT INTERRUPTION.
10. Indemnification
10.1. You will indemnify, defend, and hold harmless FrontDesk Global, X3 E-Commerce LLC, and our officers, directors, employees, and agents from any claim, loss, or damage arising from (a) your use of the Service in violation of these Terms or applicable law, (b) content you publish through the Service, (c) your breach of any third-party platform's terms, or (d) your business operations generally.
10.2. We will indemnify you against any third-party claim alleging that the Service itself (excluding your content) infringes a U.S. patent, copyright, or trademark, subject to the limitations in Section 11.
11. Limitation of liability
11.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.
11.2. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $100 USD IF GREATER.
11.3. NOTHING IN THIS SECTION LIMITS LIABILITY FOR (A) FRAUD, (B) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR (C) ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
12. Dispute resolution
12.1. Governing law. These Terms are governed by the laws of the State of Michigan, without regard to conflict of laws principles.
12.2. Informal resolution. Before filing a formal dispute, you agree to contact us at hello@frontdeskglobal.com and try to resolve the issue informally for at least 30 days.
12.3. Arbitration. Any unresolved dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Wayne County, Michigan, or remotely. Each party will bear its own costs except as the arbitrator may order.
12.4. No class actions. You may bring claims only on your own behalf and not as part of a class action or representative proceeding.
12.5. Exception. Either party may bring a claim in small-claims court or seek injunctive relief in court for intellectual property infringement.
13. International use
13.1. The Service is operated from the United States. If you access the Service from outside the U.S., you do so at your own initiative and are responsible for compliance with local laws.
13.2. Data transfer. By using the Service, you consent to the transfer of your data to the U.S. for processing.
14. General
14.1. Entire agreement. These Terms, together with our Privacy Policy and AI Disclosure, are the entire agreement between you and us regarding the Service.
14.2. Modifications. We may modify these Terms with at least 30 days' notice to your account email. Continued use after the effective date constitutes acceptance.
14.3. No waiver. Our failure to enforce any right is not a waiver.
14.4. Severability. If any provision is unenforceable, the remaining provisions stay in effect.
14.5. Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets.
14.6. No third-party beneficiaries. These Terms do not create rights for any third party.
14.7. Notices. We may give notice via email to the address on your account. You may give notice to us at hello@frontdeskglobal.com.
14.8. Headings. Section headings are for convenience only and do not affect interpretation.
